Owners agree to indemnify and hold harmless HealthyPlace.com for any loss, liability, claim, damage, and expenses (including reasonable attorneys' fees) arising from or in connection with the contents of Owners' HealthyPlace.com pages.

To provide a friendly community environment, HealthyPlace.com requires that you refrain from using your HealthyPlace.com page for the following activities:

• Displaying any kind of commercial sponsorship or ad banner, including those that are generated by banner or link exchange services, that is not sponsored by HealthyPlace.com;
• Displaying any type of "webring".
• Conducting raffles or contests that require any type of entry fee;
• Developing restricted or password-only access pages, or hidden pages or images (those not linked to from another accessible page);
• Using your storage space for remote loading or as a door or signpost to another home page, whether inside or beyond HealthyPlace.com;
• Posting material that contains any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information;
• Offering pirated computer programs or links to such programs, information used to circumvent manufacturer-installed copy-protect devices, including serial or registration numbers for software programs, or any type of cracker utilities, including files that are intended solely for game emulation;
• Gathering personally identifiable information for unlawful purposes, or without consent and statement of intention of use for commercial purposes; and
• Using your pages to facilitate distribution of or responses to unsolicited email.

Any Owners who collect personally identifiable information through their HealthyPlace.com pages must do so only in accordance with the terms of HealthyPlace.com privacy policy, including but not limited to:

• Specifying the purpose and use of any personally identifiable information collected;
• Allowing users to opt out of sharing any personally identifiable information with third parties; and
• Providing users with the ability to edit or report changes to their personally identifiable information gathered through HealthyPlace.com pages.

Reporting Violations

In the event that HealthyPlace.com receives a complaint that the contents of a HealthyPlace.com page violate these Terms of Use, HealthyPlace.com shall request written substantiation of the complaint from the complaining party and will take such steps that it believes to be appropriate under the circumstances. Please report suspected violations of these Terms of Use.

HealthyPlace.com also reserves the following rights:

• To release current or past member information as required by law;
• To deny membership/partner status to offenders of these Terms of Use;
• To amend or change these Terms of Use at any time and without notice;

• To remove content at our sole discretion and for any reason.

These Terms of Use are governed by the laws of the State of Texas without giving effect to principles of conflict of laws. If any provision of these Terms of Use is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. HealthyPlace.com's failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. These Terms of Use set forth the entire agreement between you and HealthyPlace.com, and supersede any prior agreements pertaining to the subject matter contained herein.
